WEBSITE TERMS AND CONDITIONS OF USE

IMPORTANT NOTICE: Please read these Terms and Conditions carefully before using this website. By accessing or using this website in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use of this website immediately. These Terms do not create an attorney-client relationship. Information submitted through this website prior to the establishment of a formal engagement is not secure and is not protected by attorney-client privilege.

I. DEFINITIONS

As used in these Terms and Conditions, the following terms have the meanings set forth below.

“500law” means the law firm of 500law, including its partners, associates, of counsel, employees, agents, and affiliated entities, collectively.

“Agreement” means these Website Terms and Conditions of Use, as amended from time to time, together with any documents expressly incorporated by reference herein, including the Privacy Policy.

“Content” means all text, graphics, photographs, images, video, audio, data, software, code, works of authorship, publications, client alerts, legal updates, and any other materials that appear on or are made available through the Site.

“Intellectual Property Rights” means any and all patents, copyrights, trademarks, trade names, service marks, trade secrets, moral rights, rights of publicity, and any other proprietary or intellectual property rights, whether registered or unregistered, throughout the world.

“Personal Information” means information that directly or indirectly identifies an individual, as further described in the Privacy Policy.

“Site” means the 500law website located at www.500law.com and all associated subdomains, pages, and digital properties operated by 500law.

“User” means any individual who accesses, browses, or otherwise uses the Site, including prospective clients, existing clients, co-counsel, vendors, job applicants, students, members of the press, and the general public.

II. ACCEPTANCE OF TERMS AND CONDITIONS

By accessing or using the Site in any manner, including, without limitation, by visiting, browsing, registering, downloading content, subscribing to publications, or submitting an inquiry, you accept and agree to be bound by this Agreement in its entirety. This Agreement constitutes a legally binding contract between you and 500law.

If you are accessing the Site on behalf of a company, organization, government agency, or other legal entity, you represent and warrant that you have the authority to bind such entity to this Agreement. In such case, the term “you” refers to both you individually and the entity you represent.

500law reserves the right to modify, revise, supplement, or replace these Terms at any time and without prior notice. Modifications become effective immediately upon posting to the Site. The “Last Amended” date at the top of this document will be updated to reflect any changes. Your continued use of the Site following any modification constitutes your irrevocable acceptance of the modified Terms. It is your responsibility to review these Terms periodically. If any modification is unacceptable to you, your sole remedy is to cease all use of the Site.

III. NO LEGAL ADVICE; NO ATTORNEY-CLIENT RELATIONSHIP

The Content provided on this Site is made available solely for general informational and educational purposes and does not constitute legal advice, legal opinions, or legal representation of any kind. The Content may not reflect the most current legal developments, legislative changes, regulatory guidance, or judicial decisions, and should not be relied upon as a substitute for competent legal counsel from an attorney licensed in your jurisdiction.

Any communication with 500law through this Site prior to the firm’s completion of its standard client-intake and conflict-of-interest clearance procedures and the execution of a formal written engagement agreement does not create or constitute an attorney-client relationship, impose any duty of confidentiality on 500law, or obligate 500law to represent you in any matter.

YOU SHOULD NOT TRANSMIT CONFIDENTIAL, SENSITIVE, OR PRIVILEGED INFORMATION OF ANY KIND TO 500law THROUGH THIS SITE. Any information you submit to 500law via this Site or via Internet email prior to establishing a formal engagement is transmitted on a non-confidential basis, is not secure, and is not protected by attorney-client privilege. 500law has no duty of confidentiality with respect to such unsolicited communications.

Before 500law can represent any new client, the firm must conduct a conflicts-of-interest analysis. The submission of information or the initiation of a potential engagement inquiry does not waive or prevent the firm from declining any proposed representation.

IV. INTELLECTUAL PROPERTY RIGHTS

A. Ownership. All Content on this Site, including but not limited to text, articles, client alerts, practice descriptions, attorney biographies, graphics, logos, button icons, images, audio clips, digital downloads, and software, is the exclusive property of 500law, its licensors, or other content providers and is protected by United States and international copyright, trademark, trade dress, and other Intellectual Property Rights laws. The compilation of all Content on the Site is the exclusive property of 500law and is protected by U.S. and international copyright law.

B. Limited License to Users. Subject to your compliance with this Agreement, 500law grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for your own lawful, personal, and non-commercial informational purposes. You may, solely for personal use, download or print a single copy of any page of the Site, provided that: (i) you retain all copyright, trademark, and other proprietary notices in their original form; (ii) you do not modify or alter the Content in any way; (iii) you do not use the Content for any commercial purpose or for any public display, performance, or sale; and (iv) you do not transfer the Content to any other person or entity.

C. Prohibited Uses of Content. Except as expressly authorized under Section IV(B) above, you may not, without the prior express written consent of 500law:

  • copy, reproduce, republish, upload, post, transmit, distribute, or publicly display any Content from this Site;
  • modify, create derivative works from, translate, reverse engineer, decompile, disassemble, or otherwise exploit any Content or software contained on or available through the Site;
  • use any Content for training, fine-tuning, or developing any artificial intelligence, machine learning, or large language model system;
  • sell, assign, license, sublicense, or otherwise transfer to any third party any Content or any rights therein;
  • frame, mirror, or hyperlink any portion of the Site on any other website or server;
  • use data-mining robots, web crawlers, screen-scraping tools, spiders, or other automated devices to monitor or copy the Site or its Content; or
  • remove, obscure, or alter any copyright, trademark, patent, or other proprietary rights notices appearing on any Content.

V. TRADEMARKS AND SERVICE MARKS

“500law,” the 500law logo, and all related names, logos, product and service names, designs, and slogans are trademarks, service marks, or registered trademarks of 500law in the United States and/or other countries. All other trademarks and service marks appearing on the Site are the property of their respective owners. Nothing contained on this Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark displayed on the Site without the prior written permission of 500law or such third-party owner.

You may not use the name, logos, or trademarks of 500law in any manner that: (i) is likely to cause confusion; (ii) disparages or discredits 500law; (iii) dilutes the strength of 500law’s trademarks; (iv) implies a sponsorship, endorsement, or affiliation with 500law that does not exist; or (v) violates any applicable law.

VI. FRAUD ALERT AND IMPERSONATION WARNING

500law is aware that fraudulent actors may attempt to impersonate the Firm, its attorneys, or its personnel through email, messaging applications, social media, or other communication channels. These schemes frequently take the following forms:

  • fraudulent invoices or demands for immediate payment purportedly on behalf of the Firm;
  • fictional inheritance or estate distributions requiring the target to advance fees or provide financial account information;
  • fake job offers or work-from-home employment opportunities;
  • phishing emails using addresses that closely resemble legitimate 500law email addresses; and
  • counterfeit documents bearing the Firm’s name, logo, or purported attorney signatures.

500law will never: (i) request payment through messaging platforms such as WhatsApp, Telegram, or similar services; (ii) use personal email services such as Gmail, Hotmail, Yahoo, or similar services for official communications; or (iii) contact individuals through unsolicited text messages requesting personal or financial information.

If you receive a communication purporting to be from 500law that appears suspicious or unexpected, verify its authenticity using the contact information published on this Site. Do not click any links, open any attachments, or rely on any contact information contained within a suspicious communication. If you believe you have been targeted by a fraudulent scheme involving the Firm’s name, notify the appropriate law enforcement authorities and contact 500law directly. The Firm disclaims all liability for damages arising from impersonation schemes carried out by third parties.

VII. PROHIBITED USER CONDUCT

As a condition of your access to and use of this Site, you represent, warrant, and covenant that you will comply with all applicable federal, state, local, and international laws and regulations. You expressly agree that you will not:

  • use the Site in any manner that could disable, overburden, damage, or impair the Site or servers or networks connected to the Site;
  • attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site, whether through hacking, password mining, or any other illegitimate means;
  • introduce, upload, or transmit any viruses, Trojan horses, ransomware, worms, malware, spyware, or any other malicious or technologically harmful code;
  • use any automated system, robot, spider, crawler, scraper, or other non-human agent to access, copy, or monitor the Site or any Content without 500law’s prior express written consent;
  • collect or harvest any Personal Information from the Site, including account names or email addresses, for the purpose of transmitting unsolicited communications;
  • impersonate or falsely represent your affiliation with any person or entity, including 500law, its attorneys, or its employees;
  • post, transmit, or distribute any unsolicited advertising, promotional materials, “junk mail,” “spam,” or chain letters;
  • engage in any conduct that restricts or inhibits any other person from using or enjoying the Site, or that, in the sole judgment of 500law, exposes 500law or its clients to any liability or reputational harm;
  • violate any applicable professional responsibility rules, bar regulations, or legal ethics standards; or
  • attempt to circumvent, disable, or interfere with security-related features of the Site.

VIII. THIRD-PARTY WEBSITES, LINKS, AND RESOURCES

The Site may contain hyperlinks to websites, resources, and services operated by third parties. These links are provided solely for the convenience of Site visitors and do not imply any endorsement, approval, sponsorship, or affiliation by 500law with respect to the linked websites or their operators, contents, products, services, or practices.

500law has no control over the content, privacy practices, or data security of third-party websites and expressly disclaims all responsibility and liability for: (i) the accuracy, completeness, or reliability of any information on third-party websites; (ii) any products, services, or advice offered by third parties; (iii) any damage or loss caused or alleged to be caused in connection with your use of or reliance on any content, goods, or services available on or through any third-party website; or (iv) the privacy or data-handling practices of any third-party operator. We strongly encourage you to review the terms of use and privacy policies of any third-party websites you access through links on our Site.

IX. SOCIAL MEDIA AND THIRD-PARTY PLATFORMS

500law may maintain a presence on social media platforms, including LinkedIn, X (formerly Twitter), Instagram, and Facebook. When you interact with 500law on such platforms, your interactions are governed by the terms of service and privacy policies of those platforms, as well as by these Terms to the extent applicable. Content you post to social media platforms is publicly accessible. Comments, messages, or posts that are defamatory, offensive, harassing, or illegal may be removed or reported. 500law is not responsible for any content posted by third parties on its social media pages.

X. DISCLAIMERS OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, INFORMATION, SOFTWARE, SERVICES, AND MATERIALS INCLUDED ON OR OTHERWISE MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. 500law, ON BEHALF OF ITSELF AND ITS LICENSORS, EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (i) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (ii) WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE; (iii) WARRANTIES THAT THE SITE WILL MEET YOUR REQUIREMENTS OR THAT ACCESS TO THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iv) WARRANTIES AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE, OR AS TO THE ACCURACY, COMPLETENESS, CURRENCY, OR RELIABILITY OF ANY CONTENT OR INFORMATION AVAILABLE THROUGH THE SITE; AND (v) WARRANTIES THAT DEFECTS IN THE SITE WILL BE CORRECTED.

XI. LIMITATION OF LIABILITY AND EXCLUSION OF DAMAGES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 500law, ITS PARTNERS, ASSOCIATES, OF COUNSEL, EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS; BUSINESS INTERRUPTION; PERSONAL INJURY; PROPERTY DAMAGE; OR UNAUTHORIZED ACCESS TO OR USE OF THE SITE’S SERVERS OR ANY PERSONAL OR FINANCIAL INFORMATION STORED THEREIN, ARISING OUT OF OR IN CONNECTION WITH: (A) THESE TERMS; (B) THE SITE OR ANY CONTENT THEREON; (C) YOUR USE OF OR INABILITY TO USE THE SITE; OR (D) THE CONDUCT OF ANY OTHER USER OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT 500law HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

NOTWITHSTANDING THE FOREGOING, IF 500law IS FOUND LIABLE TO YOU FOR ANY REASON, 500law’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO OR ARISING FROM THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES; IN SUCH JURISDICTIONS, 500law’S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

XII. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to defend, indemnify, hold harmless, and reimburse 500law, its partners, associates, of counsel, employees, agents, officers, licensors, and service providers from and against any and all claims, demands, actions, damages, losses, judgments, awards, penalties, fines, costs, and expenses (including reasonable attorneys’ fees and court costs) asserted by any third party or governmental authority arising out of or relating to: (a) your access to or use of the Site or any Content thereon; (b) your violation of any provision of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of any third party, including Intellectual Property Rights, privacy rights, or rights of publicity; (e) any misrepresentation made by you in connection with the Site or these Terms; or (f) any content or materials you submit to or transmit through the Site. 500law reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with the Firm’s defense of such claims.

XIII. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION

A. Governing Law. These Terms and any dispute or claim arising out of or relating to these Terms, the Site, or any Content thereon shall be governed by and construed in accordance with the laws of the State of Florida, including its statutes of limitations, without giving effect to any conflict of law provisions that would require or permit the application of the laws of any other jurisdiction.

B. Exclusive Jurisdiction and Venue. You irrevocably agree to submit to the exclusive personal jurisdiction of the state courts of Broward County, Florida, and the United States District Court for the Southern District of Florida (Fort Lauderdale Division) for the resolution of any dispute arising out of or relating to these Terms or your use of the Site. You waive any objection based on improper venue or inconvenient forum.

C. Statute of Limitations. To the extent permitted by applicable law, any claim or cause of action arising from or relating to these Terms or your use of the Site must be filed within one (1) year after the date such claim or cause of action arose, regardless of any statute or law to the contrary. Failure to file within such period shall result in the permanent bar of such claim.

D. Waiver of Class Actions. YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE ANY DISPUTE RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. YOU WAIVE YOUR RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.

XIV. ATTORNEY ADVERTISING; JURISDICTIONAL NOTICES

This website and its Content may constitute attorney advertising under the rules and regulations of certain state bar associations and jurisdictions. Prior results do not guarantee a similar outcome. The hiring of a lawyer is an important decision and should not be based solely upon advertisements. B. Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

C. No Waiver. The failure of 500law to enforce any right or provision of these Terms at any time shall not constitute a present or future waiver of such right or provision.

D. Assignment. You may not assign, delegate, or transfer these Terms or any of your rights or obligations hereunder, by operation of law or otherwise, without 500law’s prior written consent. Any purported assignment in violation of this provision is null and void. 500law may freely assign or transfer these Terms without restriction or notice.

E. Termination. 500law reserves the right, in its sole discretion and without notice, to terminate or suspend your access to all or any part of the Site at any time, for any reason, including your breach of any provision of these Terms. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections I, III, IV, X, XI, XII, XIII, and XV.

F. Force Majeure. 500law shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, pandemics, war, terrorism, civil disturbances, power outages, internet service disruptions, or actions of governmental authorities.

G. Export Compliance. The Site, its Content, and any software available through the Site are subject to United States export control laws. You agree to comply with all applicable import, export, and re-export restrictions and shall not export or re-export any Content or software to any country or party prohibited under applicable laws.

H. Electronic Communications. When you access or use the Site or send electronic communications to 500law through the Site, you consent to receive communications from 500law electronically. 500law will communicate with you by email or by posting notices on this Site.
